According to the resolution, the executive authority will have to form a reasoned proposal to include the Russian economic company in the list of economically significant organizations. Based on this proposal, the Ministry of Economy will provide the government with an appropriate draft.
The ministry also prepared rules for determining and paying compensation to a foreign holding company in connection with the suspension of its corporate rights in relation to an economically significant organization. “The amount of compensation payable is determined on the basis of the number of shares (stakes in the authorized capital) of an economically significant organization that has passed to it, and the number of shares (stakes in the authorized capital) that are distributed among persons who have entered into direct ownership,” the statement says. document.
The State Duma in July adopted a law on the specifics of corporate relations in economically significant companies. Such companies are those that are “essential for ensuring the economic sovereignty and economic security of the Russian Federation.” Among the criteria for obtaining this status: the volume of revenue is more than 75 billion rubles, the value of assets is more than 150 billion rubles, the staff is more than 4 thousand people.
Last week President Vladimir Putin signed the law, which simplifies the transfer of economically significant companies to the jurisdiction of Russia. The law also allows exclusion through the courts from the possession of foreign participants from “unfriendly” countries.
