OpenAI CEO Sam Altman, which developed ChatGPT, will return to the company’s board of directors. It will also return OpenAI co-founder Greg Brockman and include former Bill & Melinda Gates Foundation CEO Sue Desmond-Hellman, former Sony Corp. executive and general counsel Nicole Seligman, and Instacart CEO and chairman Fiji Simo. This was reported by press service OpenAI.

The OpenAI Board of Directors decided to return Messrs. Altman and Brockman to the Board of Directors based on the results of a review by law firm WilmerHale. The company interviewed members of OpenAI’s previous board of directors, its current executives, advisors to the previous board of directors, reviewed more than 30,000 documents, and assessed various corporate actions of Messrs. Altman and Brockman.

“We unanimously agreed that Sam and Greg are the right leaders for OpenAI,” said OpenAI Chairman Bret Taylor. The press release said the board of directors also approved changes to the company’s management structure. Specifically, a new set of corporate governance guidelines was adopted and a hotline was created to provide anonymous reporting to all OpenAI employees and contractors.

According to the published WilmerHale report, the removal of Mr. Altman from the board of directors was the result of a breakdown in the relationship and loss of trust between the previous board of directors and Mr. Altman. “The previous board of directors believed at the time that its actions would mitigate internal governance issues and did not anticipate that its actions would destabilize the company,” the report said.

November 17, 2023 OpenAI Board of Directors accepted the decision to fire the company’s CEO Sam Altman because he was “not forthcoming” in his interactions with the board. What exactly was discussed was not specified. Mr. Altman back to the post of general director two weeks after the dismissal, but was not included in the board of directors.
