The Ministry of Economic Development of Russia has prepared rules for including organizations in the list of economically significant ones. Draft resolutions published on the portal of projects of normative legal acts.

According to the rules, the industry body must prepare a reasoned proposal for the inclusion of the company in this list. After that, the document is sent to the Ministry of Economic Development, which, on the basis of this proposal, will submit to the government of the Russian Federation a draft of the corresponding act.

A motivated proposal must include basic information about the organization, including financial statements, constituent documents, information about subsidiaries, etc. The document must contain evidence that the company meets the criteria for an economically significant organization.

The Ministry of Economic Development also developed a draft resolution on the procedure and amount of payment of compensation to a foreign holding company in connection with the suspension of its corporate rights in relation to an economically significant organization. Thus, the amount of compensation is determined on the basis of the number of shares or shares in the authorized capital transferred to the organization, minus those that are distributed among the persons who entered into direct ownership. Compensation will be paid in accordance with the order of transactions provided for by the law “On measures to influence the unfriendly actions of the United States and other foreign countries.”

Signed President on August 4, the law “On the peculiarities of the regulation of corporate relations in business entities that are economically significant organizations” establishes, among other things, the criteria for obtaining such a status by a company. In particular, the group’s revenue should exceed 75 billion rubles, the number of employees – 4,000 people, the value of assets – 150 billion rubles, and the amount of taxes paid should reach at least 10 billion rubles. In addition, the list may include city-forming companies, enterprises implementing technologies for socially significant services, etc. It is enough to meet at least one criterion.

The law also simplifies the re-registration of economically significant companies in Russia from other countries and allows through the courts to exclude foreign participants from hostile states from the ownership structure of holding companies.
