After the reorganization of Yandex, the fund consisting of the ex-head of the Accounts Chamber Alexei Kudrin and three top managers will become the company’s largest shareholder with voting rights. Yandex co-founder and CEO Arkady Volozh will no longer control the company after the restructuring. This publication reports The Bell with reference to sources.
The Bell sources did not name the managers. According to the edition, they will be heads of the largest businesses of “Yandex”.
Decisions within the fund will be made by a majority vote, on a number of topics there will be a veto right. Fund members “will receive many rights, including the right to nominate themselves or their representatives to the board of directors.” Mr. Kudrin, according to sources, will own a larger stake in the fund, and the former head of the Accounts Chamber may also become chairman of the board of directors of Yandex.
The Dutch Yandex NV will sell control in the holding. Shareholders will be able to manage the company through representatives on the board of directors. Among the possible buyers are the structures of Vladimir Potanin, VTB Bank and Roman Abramovich. However, a representative of Mr. Abramovich denied this information.
On November 25, Yandex announced that it was going to reorganize the company due to the geopolitical situation. The Dutch Yandex NV will withdraw from the shareholders of the group of companies and change its name.
