From the beginning of 2022 to July 2023, 164 companies with an international presence “moved” to Russia, that is, they carried out the redocimilation procedure. Bellerage partner Marina Golubentseva spoke about this at the conference “Taxes 2023”organized by the Kommersant Publishing House.
“Redocimilation is when a company moves, but not from region to region, but from one jurisdiction to another,” explained Ms. Golubentseva, “while maintaining the history of existence, corporate rules, receiving tax benefits, if we are talking about special administrative regions (SARs) )”. Let us recall that in Russia there are two SARs, the so-called “internal offshores” – on the Russky and Oktyabrsky islands in Primorye and the Kaliningrad region.
According to Marina Golubentseva, from 2018, when the redocimilation procedure appeared (the federal law “On International Companies” was adopted), and until the beginning of 2022, only 65 companies “moved” to Russia from abroad. “Why so few? The procedure is not easy, even in good times it takes nine months or more. Not only do you need to “register” in Russia, you also need to “register” from abroad,” explained Bellerage’s partner.
However, since the beginning of 2022, this process has noticeably accelerated, Ms. Golubentseva continued: over the past year there were already 82 such “moves”, and for the current year (as of July) the same number. “That is, plus 164, the process interested me, for large companies it is really interesting. Not everyone can cease to exist and start over: there are assets, liabilities, shareholders, bonds, etc.. Probably, this is an opportunity to continue business, especially when the structures serving our foreign companies – accountants, lawyers, auditors – refuse We work according to the principle of the origin of assets,” explained Marina Golubentseva.
She also recalled that in order to receive benefits in the SAR, you need to invest 50 million rubles in the Russian economy within a year. investments. “The SAR provides good benefits, especially in relation to dividend income, in the form of property taxes and the ability to maintain its own corporate rules.”
