Legal entities of the DPR, LPR, Zaporozhye and Kherson will be transferred to Russian jurisdiction

Submitted to the State Duma bill on the procedure and terms for the transfer of individual entrepreneurs and legal entities of the LPR, DPR, Kherson and Zaporozhye regions into Russian civil circulation. The authors of the initiative were Andrey Klishas and Pavel Krasheninnikov, heads of the committees on legislation and state building of the Federation Council and the State Duma.
Information about the name, address and head of legal entities that were contained in the relevant registers of the DPR, LPR, Kherson and Zaporozhye regions must be entered in the Unified State Register of Legal Entities (EGRLE) by December 31, 2022.
Legal entities located in the DPR and LPR will have to bring their constituent documents in line with Russian law when making changes to the Unified State Register of Legal Entities for the first time by December 31, 2023, in Zaporozhye and Kherson regions – by June 30, 2024. Upon the expiration of the established deadlines, legal entities that have not submitted their constituent documents will be excluded from the Unified State Register of Legal Entities.
Legal entities whose information was not included in the relevant registers and which were not previously included in the Unified State Register of Legal Entities may apply to the registering authority. The bill also establishes the possibility of acquiring the status of a branch (representative office) of a foreign legal entity. For legal entities of the DPR and LPR, the deadline for submitting an application for entering information about them in the Unified State Register of Legal Entities is until June 30, 2023, for legal entities of the Zaporozhye and Kherson regions – until December 31, 2023. At the expiration of these terms, their activities in the Russian Federation will be prohibited.
Now the registers of the DPR, LPR, Kherson and Zaporozhye regions contain information about 31,634 legal entities. There are 17,588 legal entities in the DPR, 9,984 legal entities in the LPR, 2,427 in the Zaporozhye region, and 1,635 in the Kherson region.
