A group of deputies of the State Duma has prepared two bills that will allow registering a legal entity and individual entrepreneur to an email address instead of a physical one. The document, which is planned to be submitted to the State Duma today, July 11, is available RBC.
According to the proposed amendments to the Federal Law “On State Registration of Legal Entities and Individual Entrepreneurs” and the Civil Code, a virtual address will be created in a “special state information system” when creating an account for a legal entity or individual entrepreneur.
The email address will be indicated in the Unified State Register of Legal Entities and the EGRIP. The system should provide businesses with legally significant messages, RBC reports. The bills do not specify which system will be used for this, but the explanatory note to one of them notes that the specific procedure for registering a business will be determined after the creation of the appropriate infrastructure.
At the same time, the physical address must still appear in the information system – in particular, the location of the executive body of the organization or its legal representative must be indicated in the profile of the legal entity, and the place of residence must be written in the individual entrepreneur. The explanatory note specifies, however, that it will be sufficient to indicate only the locality.
“With the help of this information system, the risks of impossibility to determine the person managing the legal entity and the risks of impossibility of carrying out control measures by tax and other state bodies should be minimized,” the text of the document says.
The bills retain the ability for a legal entity and individual entrepreneur to change a physical address to an electronic one and vice versa. It is planned that the law will come into force on January 1, 2024. RBC’s source in the State Duma said that the initiative was previously supported by the Ministry of Digital Development and the Federal Tax Service.
According to the publication, the authors of the bill were Vice Speaker of the State Duma Vladislav Davankov, head of the committee on small and medium-sized businesses Alexander Demin, first deputy chairman of the committee on information policy, information technology and communications Anton Tkachev (all three are representatives of the New People party) and a member Committee on Information Policy Anton Nemkin (United Russia).
In 2018, the Ministry of Economy developed a bill that proposed eliminating the requirement to have an office when registering a business. The adoption of the law was canceled due to the requirements of the FATF, the World Group against Money Laundering. The organization said that such a method “is associated with the risk of not finding a legal entity.”
February 2021 “News” wrote that the SME Corporation, the Ministry of Economic Development, the Ministry of Finance and the Federal Tax Service are working on the possibility of electronic registration for business. According to the source of the newspaper, it was planned to enter the e-mail address into the Unified State Register of Legal Entities.
