Deputies of the State Duma adopted in the third, final reading a law that gives the Federal Antimonopoly Service (FAS) the right to determine the dominant position among marketplaces and aggregators, and also introduces the concept of “network effect”. The law was introduced in the lower house of parliament by the government in July 2022. It passed its first reading on November 10, 2022 and its second reading on June 22. According to the text of the explanatory note, the document was developed “in order to improve antimonopoly regulation in the context of the development of the digital economy.”
According to the authors of the initiative, some digital companies have taken a dominant position in the market and have an impact on the real sector of the economy. In this regard, the FAS authorities need to take into account the influence of network effects – digital companies on the conditions for the circulation of goods on the market. In addition, network effects may make it difficult for new players to enter the commodity market.
During the discussion of the bill, the Central Bank and the State Duma Committee on IT called for clarification of the wording, since otherwise traditional financial exchanges and all sites on the Internet could fall under the scope of the law. Meanwhile, in fact, the measure was supposed to affect only online trading aggregators.
The law will apply only to those platforms that meet the following conditions: the volume of transactions between third-party sellers and buyers on them is at least 35% of the total market for such transactions, and their revenue for the year must exceed 2 billion rubles.
