The Prosecutor General’s Office succeeded in arresting the property of the Perm plant “Metafrax”

The Arbitration Court of the Perm Territory granted the request of the Prosecutor General’s Office to take additional interim measures in the case of challenging the legality of the privatization of one of the largest methanol producers in Russia, Metafrax Chemicals (part of the Metafrax Group). The court seized all movable (with the exception of money) and immovable property. In addition, management bodies are now prohibited from making decisions on the payment of dividends and remuneration to members of the board of directors, as well as on the withdrawal of money and other property from the company.

It also follows from the court decision that Metafrax is prohibited from changing the terms of employment contracts, firing employees and stopping production. The Federal Tax Service court forbade making changes to the Unified State Register of Legal Entities in terms of reorganization, liquidation, and changing the structure of the company’s management bodies.

The Metafrax Chemicals plant is located in the city of Gubakha, Perm Territory. The Prosecutor General’s Office filed a lawsuit against Metaholding, Metafrax Trading and Togliattikhimbank, which owns the company, on July 31.

Plaintiff states that in the 1990s the state was illegally removed from the ownership of Metafrax Chemicals, informed earlier today Kommersant. The Prosecutor General’s Office claims that the privatization plan in 1992 was approved by the Perm Regional Committee for Property Management “with excess of authority.” All subsequent transactions were made with the participation of persons “who did not have the right to determine the fate of the enterprise,” the department notes. The Prosecutor General’s Office said that as a result, since 2007, the plant has been owned by a “group of individuals with the participation of foreign companies.”

In this regard, the prosecutor’s office applied to the court with a request to take interim measures against the Perm plant. On August 1, the court arrested the shares of Metafrax Chemicals: Metaholding owns 281,672,929 shares, Togliattikhimbank – 2,124,000, Metafrax Trading – 802,299. At the same time, the court did not impose other interim measures, including seizure of property, on the enterprise . The first hearing in the case will take place on August 25.
