The Ministry of Industry and Trade was unable to challenge the sale of the Perm manufacturer of radio fuses

The Arbitration Court of the Perm Territory refused to meet the requirements of the Ministry of Industry and Trade of the Russian Federation to invalidate the auction for the sale of property of the Dzerzhinsky Machine-Building Plant. In April, the assets of the bankrupt defense enterprise redeemed capital LLC PSK Spetsproektstroy for 725 million rubles. According to the terms of the deal, the company must ensure the intended use of the enterprise’s property and the fulfillment of the state defense order. A few days after the conclusion of the sale and purchase agreement, the ministry filed a lawsuit to challenge the results of the auction.

FSUE Dzerzhinsky Machine-Building Plant has been in bankruptcy proceedings since 2005. The enterprise produces radio fuses and other components for missile warheads, oil separators used on Navy ships, and civilian products. Registered payables of the Federal State Unitary Enterprise amount to about 400 million rubles, most of which (about 88%) is controlled by the Federal Tax Service.

According to Kommersant, in the statement of claim, the Ministry of Industry and Trade referred to the fact that the LLC does not meet the requirements for bidders, and the bankruptcy trustee created preferences for the future winner during their organization. The Ministry of Industry and Trade did not send its representatives to the process, and the plaintiff did not submit an updated statement.

Anastasia Stiran, a representative of PSK Spetsproektstroy, disagreed with the plaintiff’s demands. She noted that the Ministry of Industry and Trade is behaving inconsistently: first, the ministry issued the corresponding license to the LLC, and then, after the conclusion of the contract, it went to court, insisting that Spetsproektstroy did not meet the requirements for bidders.

Also, Ms. Stiran and the bankruptcy trustee of the Federal State Unitary Enterprise Lev Shlyapin insisted that the deal in no way affects the interests of the Ministry of Industry and Trade. Moreover, the ministry did not exercise its right of first refusal to buy the asset. As a result, Judge Ekaterina Kopaneva denied the ministry’s demands.
