Rostelecom indirectly acquired a 51% stake in the Moscow provider MaximaTelecom. The parties have not yet commented on the details of the transaction, but the day before it, MaximaTelecom announced a rebranding and a change in strategy: now the provider will focus on the development of the integrator direction, which already today gives it much more revenue than the operator.
Rostelecom received indirect control over 51% of the shares of the operator MaximaTelecom, it became known from the disclosure of material facts (.pdf). Control in MaximaTelecom was obtained through the operator Macomnet, controlled by Rostelecom, which directly acquired a 76.2% stake in MaximaTelecom. A meeting of the board of directors of MaximaTelecom was scheduled for March 31 to determine the price of the transaction; its terms, however, are not disclosed. “Kommersant” sent a request to the companies, they have not yet commented on the deal.
JSC “MaximaTelecom” was established in 2004, according to “SPARK-Interfax”, the beneficiary of the company is Sergey Aslanyan. At the end of 2021, JSC received revenue of 7.7 billion rubles. with a net profit of 419 million rubles. MaximaTelecom provides Wi-Fi services in public transport in Moscow and St. Petersburg and supplies equipment and software to government customers through its subsidiaries: City Services LLC, MT-Lab LLC, Urban Solutions Operator JSC, MaximaTelecom LLC SZ”.
The day before the transaction, MaximaTelecom announced that it was forming the Maxima group of companies and dividing its activities into two areas: the historically main operator business for it, that is, support and development of the already existing infrastructure of the data transmission network, and a relatively new integrator area, says in a company message. The latter involves the introduction and support of Russian systems of resource planning (ERP), production process management (MES) and the technological process at enterprises.
The main revenue of JSC “MaximaTelecom” already now falls not on the provision of communication services. According to the company’s unaudited IFRS statements for the first half of 2022, the sale of server and telecommunications equipment accounted for 6.47 billion rubles. of 7.83 billion rubles, for the sale of software and certificates for technical support – 285.5 million rubles. Revenue from the provision of communication services for the first half of 2022 amounted to RUB 249.4 million.
After mobile operators began to actively increase coverage in the metro in the 2020s, positioning MaximaTelecom as an Internet transport operator became ineffective, reminds MForum analyst Aleksey Boyko: “The company owes its success to a large extent to good relations with state and municipal structures” . “MaximaTelecom” actively grew when the possibilities of operators to work in the subway were artificially limited, he says.
