Trust sold 90% of Tochka bank for 41.5 billion rubles – Kommersant

Trust sold its stake (90.01%) to Tochka Bank. The deal amounted to 41.5 billion rubles. It is planned to close the deal in the third quarter of this year, the press service of Trust reported (the document is available to “b”). The bank was bought out by a team of top managers together with a consortium of investors. In March, Invest Finance LLC, controlled by the owners of S7 Group, the Filev family, acquired 9.9% from the founders of Tochka. Now the management has consolidated 100% of the shares.

The lot included Tochka JSC and all subsidiaries, including the bank – Bank Tochka LLC, whose capital is 7.36 billion rubles. The bank bought out the top management of Tochka. To do this, he attracted a consortium of investors with the participation of the Interros group.

“Tochka’s top management team has formed a consortium of investors that controls 9.99% of the shares of Tochka JSC through Catalytic People. Now, following the results of the auction, the team intends to exercise the pre-emptive right and consolidate 100% of JSC Tochka at the price determined as a result of the last auction,” the bank said in a statement.

“The auction confirmed the high interest of investors in the asset. As a result, the starting price increased by 68%, including due to the work of the bank of non-core assets with Tochka, ”said Alexander Sokolov, chairman of the board of the bank of non-core assets Trust, according to the press service.

As Alexander Sokolov noted, the business structure was strengthened, he received the necessary license, in addition, the dispute with minority shareholders was settled. As a result, the asset has become much more interesting to investors. He noted that “Trust” is satisfied with the results of the auction.

In February 2022, Otkritie, which owns Tochka, came under US blocking sanctions. A few months later, it turned out that shortly before that, 90.01% of Tochka’s shares had been sold to Trust Bank. After the transaction, minority shareholders of the digital bank had claims. Catalytic People Limited, under the control of Tochka founders Boris Dyakonov and Eduard Panteleev, challenged the sale of a 90.01% stake in Trust, but then withdrew the claim.

In January 2023, Tochka received a universal banking license. Since 2015, Tochka has been operating as a fintech platform on the basis of other credit institutions (Bank24.ru, Otkritie) without its own banking license.
