The extraordinary meeting of shareholders of TCS Group (the parent company of Tinkoff Bank and Tinkoff Insurance), at which the issue of redomiciliation of the company from Cyprus to Russia should be considered, has been postponed to January 15, 2024. This is reported by Interfax with reference to the TCS Group notification. Initially it was assumed that an extraordinary meeting of shareholders on this issue will take place today, January 8th.
To cancel registration in Cyprus and re-register in Russia, TCS Group shareholders must agree on changes to the company’s charter. TCS has not officially announced in which of the two special administrative regions – Kaliningrad or Vladivostok – it plans to re-register.
The fact that the company plans to change the jurisdiction of Cyprus became known in November last year. Following the results of the meeting of TCS Group shareholders on November 21, the company’s board of directors was renewed and its composition was reduced to three people. According to lawyers, this measure was one of the preparatory stages before the planned re-registration of the group from the jurisdiction of Cyprus.
