F+ tech (the parent company of Marvel Distribution) has acquired a 49% stake in a software developer for data storage systems (SHD) and servers under the Baum brand. The company expects to create its own research and development center in the Russian Federation in order to occupy about 30% of the domestic market for data storage systems in the future, including by organizing the supply of equipment to the public sector. Experts believe that the developer will help with this, but they note high competition in the market, including with strong Chinese suppliers.
On November 28, F-Plus Equipment and Development LLC (F+ tech brand, the head structure of the Marvel Distribution electronics distributor) bought a 49% stake in SK-SHD LLC, a developer of software for data storage systems. Another 51% remained with the founder of the company, Alexander Lapushkin. Kommersant found this information in the SPARK-Interfax database. According to the interlocutor of Kommersant, who is familiar with the details of the deal, the share itself and the project to create its own research and development center will cost F + tech 400-600 million rubles.
OOO SK-SHD established in 2019 with an authorized capital of 100 thousand rubles. Revenue at the end of 2022 amounted to 202 million rubles. with a net profit of 118 million rubles. The intellectual property of SK-SHD is software under the Baum brand for optimizing data storage on storage systems, the SK Analytics data storage and data mining system, etc.
According to Aleksey Melnikov, managing partner of F+ tech, they expect to start production of storage systems under the F+ brand in 2023, and by 2024, thanks to Baum software, to bring to the market equipment of their own design, similar in characteristics to Huawei, Hitachi Vantara, IBM: enter the Unified Register of Russian Radioelectronic Products in 2023 and take up to 30% of the storage market within three years.”
F-Plus Equipment and Development LLC established in December 2021, 50% owned by Vladimir Kornev and 50% owned by Alexey Melnikov. Since March 2022, the company has received 95% in Marvel KT LLC, which was previously the parent structure of the Marvel Distribution group. In 2021, the revenue of Marvel CT amounted to 175 billion rubles. with a net profit of 8 billion rubles. The company has already announced plans to launch the production of network equipment and computer equipment, including servers and storage systems, with a capacity of 250 thousand units (see Kommersant dated November 18).
Over the past two months, this is already the second transaction in the Russian IT market related to the acquisition of a software developer for storage systems. In September, the Yadro group, which is part of ICS-Holding, acquired 100% of Radix.
A source in the market says that F + tech, a software developer for storage systems and servers, is primarily needed to supply equipment to state companies and departments: “F + tech will create storage systems and servers from Chinese components, however, in order for them to be trusted and meet the requirements of regulators , requires protected Russian software, not a conditional Microsoft product. At the same time, they note in a large electronics distributor OCS, “they are also facing difficulties in returning investments associated with the relatively small capacity of the fairly competitive Russian storage market.”
Nikolai Komlev, executive director of the Association of Computer and Information Technology Enterprises, considers the deal logical, since “the profit from the combination of software and hardware will always be greater than the sale of each segment separately.” In deliveries to the public sector, the expert adds, F + tech will compete with other Russian manufacturers of storage systems and servers, such as Yadro. However, he clarifies, the situation could change if a major Asian vendor, such as Chinese Inspur, enters the Russian market: “Chinese companies have a chance to capture a significant share of the Russian market due to freer access to electronic components and technologies of world leaders.”
