Putin took control of Pulkovo airport from a foreign company – Kommersant

The government creates VVSS Holding LLC to manage Pulkovo Airport, taking away this right from a foreign company. This is stated in the decree of President Vladimir Putin. Document “On the application of special economic measures in the field of air transport in connection with the unfriendly actions of some foreign states and international organizations” published on the portal of legal acts.
According to the decree, all 100% of the Cypriot company’s shares in the authorized capital of the Northern Capital Gateway (LLC, which has been managing Pulkovo since 2010) are transferred to the ownership of VVSS Holding. Its authorized capital will be 169 billion rubles. It is noted that the government will not be the founder of the company.
VVSS Holding LLC will include 14 companies: Business Finance LLC (16.79%), VTB Infrastructure Holding LLC (8.22%), Advanced Industrial and Infrastructure Technologies-7 LLC (2.33%), Fraport AG (25%), F3 Holding LLC (24.99%), Thirthy seventh investment company (7.99%), Nomeliar LTD (7.48%), Ayar international investments company (3.5%), Bahrain mumtalakat holding company (1.26%), Felmen ventures limited (1.05%), Zamoralo holdings limited (1.04%), Co-investment partnership V (0.16%), Mevelida LTD (0.02%).
The measures were taken “in connection with the threat to the national interests and economic security of the Russian Federation that arose as a result of the violation of obligations by some foreign legal entities.” The document states that the implementation of the decree will not lead to the emergence of “economic benefits” for the new holding and its participants, and they do not need to obtain any additional permits or approvals from other departments.
“Air Gate of the Northern Capital” received control of Pulkovo from April 29, 2010 for 30 years, until 2040. The company’s shareholders include VTB, the German holding Fraport, the Qatari investment fund QIA, as well as a consortium with the participation of RDIF, Mubadala and Baring Vostok (they each own 25%). After the start of the military operation in Ukraine, Fraport announced plans to withdraw from the capital of the Northern Capital Air Gate. In September, VTB CEO Andrei Kostin confirmed that Fraport would sell its 25% stake, which was valued at €111 million.
