Interfax: large companies may get the right not to take into account the votes of “unfriendly” shareholders

Up to 15 Russian backbone companies from the fields of energy, engineering and trade may get a temporary opportunity not to take into account the votes of co-owners from “unfriendly” countries when making decisions. As reported “Interfax” a source familiar with the discussion of the idea, they can be provided with such an opportunity by presidential decree. The relaxations will be in effect until the end of 2023.
According to the project, which is being developed by the Russian Union of Industrialists and Entrepreneurs (RSPP), temporary rules are planned to be extended to backbone organizations that meet three criteria:
- sanctions have been imposed on their Russian co-owner;
- the share of co-owners from “unfriendly” countries – no more than 50%;
- the organization’s revenue exceeds 100 billion rubles.
Now the “unfriendly” co-owners of some companies have withdrawn from decision-making. Because of this, enterprises cannot approve the budget and business plans, make personnel decisions and change the composition of management bodies. According to the RSPP, there are 14 backbone companies that fall under these criteria. The union also noted that foreign co-owners support this idea.
