FAS approved the purchase of the Victoria retail chain by X5 Group

The Federal Antimonopoly Service (FAS) approved the acquisition of 100% of the Victoria retail chain by X5 Group. About it informs department press office.
The Federal Antimonopoly Service of Russia granted the request of Corporate Center X5 LLC to acquire a 100% stake in the authorized capital of Victoria Baltia LLC (Victoria retail chain) subject to the fulfillment of the order of the antimonopoly department.
The FAS noted that the share of X5 Group exceeded 25% of the volume of all food products sold in monetary terms for 2022 in Dolgoprudny, Moscow Region. In this regard, prior to the transaction, Victoria Baltia must transfer retail facilities in the city to third parties, the department said.
At the same time, the change of ownership should not adversely affect the counterparties of the trading network. In this regard, the FAS ordered to fulfill all agreements concluded by the acquired company. The service also set a condition to extend the voluntary price obligations of the X5 Group to the purchased Victoria. We are talking about margins on individual socially significant products no higher than 5-10% of the purchase price.
The FAS emphasized that failure to comply with the requirements may lead to the recognition of the transaction as invalid.
“Victoria” was part of the group of companies “Dixie» Igor Kesaev and his partners. In 2021, more than 2,400 Dixy stores were transferred to Magnit. The deal amounted to 87.6 billion rubles. Victoria remained owned by the Mercury Retail Group (it also operates the Red and White and Bristol chains).
In November 2022, the FAS approved the sale of 37.35% of Victoria Baltiya LLC to an unnamed person. They became Nikolai Tyaka – partner of Igor Kesaev, discovered “Kommersant”. Another 45% of the company was received by Sergey Studennikov, 7.69% – by Sergey Katsiev. Together with Kesaev, they owned the Mercury Retail Group.
