FAS approved the deal between Yandex and VK

“Yandex” and VK received FAS approval for a deal to sell Delivery Club. The agency also approved VK’s petition to acquire the Novosti news aggregator and the Zen recommendation platform. The decision is published on the official website of the FAS.
“The Federal Antimonopoly Service of Russia considered the application for the acquisition of the Delivery Club service by Yandex and approved it with an order. One of the requirements of the antimonopoly agency is the absence of any advantages for restaurants and deliveries using the Yandex.Food service in relation to other order aggregators, ”the agency said in an official statement.
Compliance with the condition must guarantee the preservation of the size and procedure for the formation of remuneration for service partners (restaurants) for three years from the date of the transaction. Besides, “Yandex“should not take measures aimed at refusing or reducing the use of Delivery Club or other third-party services by restaurants,” the agency said in a statement.
In the case of the transfer of media assets – “News” and the recommendation platform “Zen” – the instructions relate to compliance with the requirements for the processing of personal data by companies. “So, the operator of these platforms will be obliged, in the cases provided for by law, to request and obtain the consent of users to the processing of personal data for each service separately,” the decision says.
The companies announced on August 23 how the deal will be structured. VK will manage media assets – the news aggregator and Zen, as well as the yandex.ru address. The main page of “Yandex” will move to the ya.ru domain, which will become the main entry point to “Search”, “Mail” and other services of the company, including the user’s personal account “Yandex ID”, Vedomosti reported with reference to the press service ” Yandex. In exchange for media services, under the terms of the deal, Yandex will receive the Delivery Club delivery service, which VK is consolidating as part of a “divorce” with Sberbank during the restructuring of VK’s joint venture and O2O Holding bank.
According to the forecasts of the analytical agency Infoline, the combination of assets “Yandex.Lavki”, “Yandex.Edy” and Delivery Club will allow Yandex to take third place in sales in the Russian food technology market after Sberbank with its Sbermarket and Samokat and VkusVilla.
