Minority shareholder Mikhail Kosilov left the structure of the Reksoft IT group
One of the minority shareholders, entrepreneur Mikhail Kosilov, left the structure of the large IT group Reksoft, which, in particular, is owned by the structures of Vladimir Potanin. He is also a co-owner of a developer of rugged mobile devices for the industrial sector. His share of 9.22% in Reksoft was transferred to the investment company Filin Investment. Experts believe that such transactions confirm the trend towards consolidation of the IT market, and believe that Mr. Kosilov can invest the proceeds from the transaction in a new project.
Kommersant discovered that Mikhail Kosilov, one of the group’s minority shareholders, left the structure of the Reksoft technology group in September. Its share of 9.22% in the group was transferred to Filin Investment LLC (the main activity is commercial consulting and management, registered in March 2024), follows from SPARK-Interfax data. The Reksoft group and Interros declined to comment on the changes. Kommersant was unable to contact Filin Investment and Mr. Kosilov.
"Reksoft" (Reksoft) is a Russian developer of IT solutions for the financial sector, public sector, retail, transport, logistics and other industries. Now the ownership structure of Reksoft Group LLC, according to SPARK-Interfax, is as follows: 40.2% belongs to KVADRA++ LLC, 25% belongs to Desert Spark SPC registered in Oman, 15% to Interros Capital, 10 .5% from Nextstep LLC, 9.22% from Filin Investment LLC. The group’s revenue at the end of 2023 more than doubled year-on-year and amounted to 3.3 billion rubles, net profit is not disclosed. The company's clients are VTB, Gazprom Neft, S7, Pulkovo and Domodedovo airports, etc.
Entrepreneur Mikhail Kosilov has been listed among the shareholders of the Reksoft group only since 2022, then his share was 15.37%, later decreasing to 12.3%. He now owns 15% in Mobile Inform Group, which develops and supplies secure mobile devices for the industrial sector. In addition, since 2022, Mr. Kosilov has been the chief executive officer of Tech Bridge, an IT distributor that operates in Central Asia, the South Caucasus, and the Middle East.
Last year, Reksoft acquired 100% of the Russian asset EPAM Systems (Epam Systems LLC, copyright holder of RNT LLC; develops software and digital platforms, engages in consulting), which at that time was estimated at 10–15 billion rubles. (see “Kommersant” dated August 4, 2023). The company's revenue for 2023 amounted to 2.8 billion rubles, net profit - 439 million. Commenting on the group's reporting for 2023, Reksoft noted that the acquisition of this asset "had a significant impact on its performance at the end of the year."
Reksoft has huge potential for growth against the backdrop of the departure of foreign vendors and the need for import substitution and software integration in economic sectors, notes the founder of the analytical company specializing in the venture market, Dsight, Arseny Dabbakh. In his opinion, the entire group can be valued at more than 10 billion rubles: “Reksoft, in fact, took away the strong EPAM team, acquired strong shareholders and can maintain high growth rates.”
In the IT market, the trend towards consolidation of its participants is now intensifying, and the process of buying and selling shares in companies is quite active, notes the founder of the developer of the domestic software “MyOffice” Dmitry Komissarov. He believes that Mikhail Kosilov, who sold his stake in Reksoft, could have done this to invest the proceeds in new projects.
